Seed Round Structure

FanBase Copilot

Becomes a new entity (flexible on incorporation location) with its own cap table and board. Owns the product, IP, and team required to build and scale FanBase Copilot.

Existing FanBase operations

XBorg continues servicing existing enterprise clients with a lean operations team. Product, IP and people transfer to FanBase Copilot wherever it accelerates the spinout.

Why this structure

Allows FanBase Copilot to scale independently while preserving continuity for existing customers.
